1. What is the nature of the relationship between you and the Company?
You are engaged as an independent contractor, not an employee. This means you are solely responsible for your own taxes, social security contributions, insurance, and benefits. You also provide your own equipment and facilities unless otherwise specified in a Statement of Work (SOW).
2. How are Intellectual Property (IP) and “Work Product” handled?
The Company maintains a “work for hire” approach. Any inventions, code, or materials you create in connection with your services are considered “Contractor Work Product” and are the sole property of the Company. By signing, you irrevocably assign all worldwide rights and waive any “moral rights” to these materials.
3. What are the confidentiality and non-disclosure obligations?
You must treat all information provided by the Company—including the existence of this agreement and the identity of the Client—as strictly confidential. These obligations survive the termination of the contract. Upon completion of your services, you are required to return or destroy all confidential materials.
4. Are there restrictions on who I can work for or recruit?
- Conflict of Interest: You warrant that you have no pre-existing obligations that conflict with this Agreement and specifically that you are not currently employed by a foundational AI model company.
- Non-Solicitation: For the duration of the Agreement and one year following its termination, you agree not to solicit the Company’s employees or other contractors for your own benefit.
5. How can the Agreement be terminated?
- For Convenience: Either party can terminate the Agreement or an SOW without cause by providing 5 business days’ written notice.
- For Breach: If a material breach occurs, the non-breaching party may terminate if the issue isn’t cured within 5 business days. The Company may also terminate immediately forb breach of confidentiality, gross negligence, or fraud.
6. How are legal disputes resolved?
All disputes arising from your services or this Agreement are subject to binding arbitration administered by JAMS. By signing, you waive the right to a jury trial or to participate in class-action or representative proceedings.
Roles at micro1 are contracted and will continue as long as the client has work to be completed. Clients try to give us as much forward guidance as possible, but in the rapidly developing AI field, client needs can change. We will always try to give as much forward guidance as we can regarding pipeline continuation and completion. If a client decides to close down or cancel a pipeline, micro1 will do our best to place you on a similar pipeline, if one exists.
